    Terms and Conditions of Service for GHL Vibe Sync

    Welcome to GHL Vibe Sync (hereinafter referred to as "the Software" or "the Service").

    These Terms and Conditions of Service ("Agreement" or "Terms") constitute a legally binding agreement between the user ("User", "Developer", "Client", or "Agency") and GHL Vibe Sync ("we", "us", "our", or "the Licensor"), the owner of all intellectual property and commercial rights to GHL Vibe Sync.

    By purchasing a license, registering, installing the browser extension, or using the Software in any manner, you declare that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you are not authorized to download, install, or use the Software.

    1. Nature of the Service and Eligibility (Strictly B2B)

    GHL Vibe Sync provides a local synchronization and visual staging tool (Chrome/Firefox extension and serverless bridge) for the "Vibe Coder" editor integrated into the GoHighLevel platform.

    • Strictly Business-to-Business (B2B): The Service is intended and offered exclusively for professional use by marketing agencies, programmers, web developers, or enterprises. Consumer protection laws and regulations (such as the EU Consumer Rights Directive or domestic B2C cooling-off periods) DO NOT apply to this Agreement. You warrant and represent that you are acting solely for purposes relating to your trade, business, craft, or profession.
    • Third-Party Requirements: To utilize GHL Vibe Sync, you must maintain an active and valid account on the GoHighLevel platform. The Client acknowledges that GoHighLevel is an independent, third-party service and that we have no control, influence, or liability regarding the stability, availability, or technical modifications made by GoHighLevel Inc.

    1.1. AI Studio & Vibe Project Technical Limitations

    The Client expressly acknowledges that GoHighLevel Vibe projects (AI Studio) are subject to specific technical limitations and architectural specifications imposed by the GoHighLevel platform. The Software cannot bypass or alter these native limitations. It is not possible to import arbitrary projects, frameworks, or modifications that do not strictly adhere to AI Studio's technical specifications. The Client is solely responsible for ensuring that any code pushed via the Software complies with these specifications to guarantee the correct functionality and stability of the target site.

    2. License Grant and Usage Restrictions

    2.1. License Grant

    Subject to your timely payment of the agreed fees (whether a recurring monthly subscription or a one-time lifetime/perpetual payment), we grant you a limited, non-exclusive, non-transferable, revocable, and non-sublicensable license to install and use the GHL Vibe Sync extension solely for your internal professional and business operations. The license key and the link to download the extension will be sent via email after a successful payment.

    2.2. Restrictions and Device Locking (Node-Locking)

    To prevent unauthorized sharing and abuse of license keys:

    • Node-Locking: Each active license is strictly personal and bound to a single (1) browser/device at any given time via a unique cryptographic identifier (Device ID/Fingerprint).
    • Unlinking and Resetting: The Client may transfer the license to a different device using the in-app "Scollega questo dispositivo / Disconnect device" feature or via the remote reset portal on our website. Simultaneous sharing of a single license key across multiple browsers, devices, or concurrent workstations constitutes a material breach of this Agreement and will result in the immediate revocation of the license without refund or compensation.
    • Reverse Engineering: You are strictly prohibited from reverse engineering, decompiling, disassembling, modifying, or attempting to circumvent the security barriers, licensing enforcement, or serverless endpoints (including Vercel infrastructure) of the Software.

    3. Intellectual Property Rights

    All intellectual property rights, titles, and interests in and to GHL Vibe Sync (including, without limitation, the extension source code, the serverless backend functions on Vercel, the Canvas interface, branding, logos, graphics, and documentation) belong exclusively to GHL Vibe Sync.

    Nothing in this Agreement transfers any intellectual property rights to the Client. Any unauthorized copying, distribution, or intellectual property infringement will be prosecuted to the maximum extent permitted by global copyright laws and international treaties.

    4. Commercial Models: Subscription vs. Lifetime License

    The Client may purchase access to GHL Vibe Sync under two distinct pricing models as indicated on our official checkout pages:

    4.1. Monthly Subscription Model (SaaS)

    • Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle (e.g., every 30 days) unless the Client cancels the subscription before the renewal date through their Stripe Customer Portal or by submitting a written request to support@ghlvibesync.pegosystem.com.
    • Payment Failure and Grace Period: In the event of a failed payment (e.g., expired card, insufficient funds), we may grant a grace period of up to 3 days, during which the Software remains operational but displays a warning. If payment is not updated within this period, the license will be automatically deactivated at the API gateway level, blocking all Software operations until the outstanding balance is settled.

    4.2. Lifetime License Model (One-Time Payment / Perpetual)

    • One-Time Payment: Sells on a one-time fee basis to grant perpetual access to the current major version's operational features, without recurring renewal fees.
    • Minor Updates Included: Unless otherwise specified at the time of purchase, a lifetime license includes access to all minor updates and patches of the current software version. The Licensor reserves the right to release future major upgrades (e.g., structurally rebuilt extension architectures or major version transitions) as separate, paid products.
    • Compliance with Terms: Lifetime licenses are strictly subject to the Device Locking (one device active at a time) restriction set forth in Section 2.2. Any breach or attempted evasion of this restriction will lead to the immediate and permanent deactivation of the lifetime license without refund.

    5. Refund Policy

    Given the digital nature of the Software (which is delivered instantaneously as a browser extension and activated immediately via a unique license key), all sales (including both recurring subscriptions and one-time/lifetime licenses) are final, non-cancellable, and strictly non-refundable.

    • Exclusion of Right of Withdrawal: As a B2B agreement for the supply of digital content not delivered on a tangible medium, you expressly acknowledge and agree that performance begins immediately upon purchase and delivery of the license key, and you hereby waive any statutory right of withdrawal, cooling-off period, or refund.
    • Trial Period: We encourage clients to take advantage of any free trial periods (where offered) to thoroughly test the Software’s compatibility with their workflows prior to completing a purchase.

    6. Privacy, Global Data Protection, and GDPR Compliance

    6.1. Stateless Architecture and Data Privacy

    The Client acknowledges and agrees that GHL Vibe Sync operates on a completely stateless architecture regarding your project source files (HTML, CSS, JS, React, etc.).

    All project data extracted via "Pull" or injected via "Push" transitions directly in volatile memory from the Client’s browser to GoHighLevel's official APIs. Our serverless gateway on Vercel does not store, log, inspect, or possess any persistent copy of the source code, template files, or databases belonging to the Client or the Client's end-users.

    6.2. Roles under Data Protection Regulations (GDPR / CCPA)

    • Client as Data Controller: The Client remains the sole and exclusive Data Controller of any personal data processed through GoHighLevel or synchronized using the Software.
    • Licensor: We act as an independent entity processing only the Client's registration and transactional data (Email, License Key, Temporary IP logs, and unique Device ID) necessary to validate the license and prevent fraud, in full compliance with our Privacy Policy, which is incorporated into these Terms by reference.

    7. Disclaimer of Warranties and Limitation of Liability

    THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    To the maximum extent permitted by applicable law, in no event shall the Licensor, its employees, partners, or service providers (including Vercel Inc. and Stripe) be liable for any direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to:

    • Loss of profits, contracts, business, data, goodwill, or operational interruption suffered by the Client or the Client's end-users.
    • Any code corruption, loss of website templates, or website crashes within the GoHighLevel environment. It is the sole responsibility of the Client to enable the "Preventive Backup" feature integrated into the Software and to perform independent offline backups before initiating any write (Push) operations.
    • Under no circumstances shall the Licensor's aggregate liability under this Agreement exceed the total amount paid by the Client to the Licensor for the specific license during the twelve (12) months preceding the event giving rise to such liability, or $100 USD, whichever is greater.

    8. Amendments to the Terms and Service

    We reserve the right, at our sole discretion, to modify or replace these Terms at any time due to legal updates, security adjustments, or software upgrades.

    Any changes will be posted on this page with an updated "Last Updated" date, and we may send a broadcast notification within the extension popup. By continuing to use the Software after such changes take effect, you agree to be bound by the updated Terms.

    9. Governing Law and Forum

    This Agreement and any dispute arising out of or in connection with its interpretation, execution, or validity shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles.

    Any legal action, suit, or proceeding arising out of this Agreement shall be brought exclusively in the courts located in Udine, Italy, and both parties hereby irrevocably submit to the personal jurisdiction of such courts.

    10. Suspension, Service Interruption, and Unilateral Revocation of License (Termination for Convenience)

    10.1. Right of Revocation and Discontinuation without Notice

    The Licensor reserves the absolute, unilateral, and unconditional right to modify, temporarily suspend, or permanently discontinue the Software, the browser extension, or the validation serverless gateways (Vercel bridge), as well as to revoke, deactivate, or block any active license key (including both recurring monthly subscriptions and one-time/lifetime licenses), at any time, at its sole discretion, without prior notice, without cause, and without the obligation to provide any written or verbal explanation.

    10.2. Exclusion of Indemnification, Compensation, and Refunds

    The exercise of our right to suspend, discontinue, or revoke the license under Section 10.1 shall not entitle the Client, Agency, or User to any refund (partial or full) of any fees paid, nor to any damages, compensations, financial indemnities, or reimbursement for loss of service, operational disruptions, or business transition costs.

    10.3. Sanctionable Suspension for Abuse

    Without limiting the generality of Section 10.1, any suspected or confirmed violation of the usage restrictions set forth in Section 2.2 (such as reverse engineering attempts, key sharing, brute-force attacks on the Vercel bridge, or tampering with the Device Locking system) will result in the immediate, permanent, and non-appealable revocation of the license and the permanent banning of the associated user account, without prejudice to our right to pursue full legal remedies under applicable civil and criminal laws.
